Terms of Use

Effective Date: September 1, 2026 | Last Updated: September 1, 2026

IMPORTANT: THESE TERMS INCLUDE A BINDING INDIVIDUAL ARBITRATION AGREEMENT AND CLASS-ACTION AND JURY-TRIAL WAIVERS. THEY AFFECT YOUR LEGAL RIGHTS. PLEASE READ SECTION 27 CAREFULLY. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS AS DESCRIBED THERE.

These Terms of Use ("Terms") are a binding agreement between you and Daleely, Inc. ("Daleely," "we," "us," or "our") governing your access to and use of the Daleely websites, mobile applications, communications, and related products and services that link to these Terms (collectively, the "Services").

1. Agreement to These Terms

By creating an account, clicking an acceptance button or checkbox, purchasing or selling a subscription or ticket, making or receiving a donation, submitting content, claiming or managing an organization, or otherwise accessing or using the Services, you agree to these Terms and acknowledge the Daleely Privacy Policy. If you use the Services for an organization, you represent that you have authority to bind that organization, and "you" includes both you and the organization.

If you do not agree, do not access or use the Services. Certain features may have checkout terms, program rules, organizer terms, promotion rules, or other supplemental terms. Those terms become part of this agreement when presented and accepted. If supplemental terms conflict with these Terms, the supplemental terms control only for that feature and conflict.

Daleely may require a new affirmative acceptance when these Terms materially change. Electronic acceptance and records have the same force as signatures and paper records to the fullest extent permitted by law, including under the federal E-SIGN Act and applicable state electronic-transactions laws.

2. Eligibility and United States Availability

The Services are intended for use in the United States. You must be at least 18 years old and legally capable of entering a binding contract to create an account or to use any feature of the Services that requires an account. The Services are not directed to children, and people under 18 may not create accounts or submit personal information through the Services.

Purchasing or managing subscriptions, purchasing or selling tickets, making donations through the Services, organizing events, and applying for or managing a business, mosque, organizer, or other organization account are available only to account holders who are at least 18. Daleely may impose a higher age or additional eligibility requirements where required by law or a third-party service.

You may not use the Services if you are legally barred from doing so, are subject to sanctions or trade restrictions administered by the U.S. government (including the Office of Foreign Assets Control) that prohibit the relationship, or were previously removed from the Services for material misconduct, unless Daleely gives written permission. Daleely may require evidence of eligibility at any time.

3. What Daleely Provides—and Does Not Provide

Daleely provides technology for discovering and interacting with businesses, mosques, events, community resources, and other participants. Features may include accounts, search, location-based results, listings, follows, saves, reviews, subscriptions, event tickets, donations, notifications, and verification.

Unless Daleely expressly states otherwise in a signed writing:

Daleely may verify certain information, but verification is limited to the checks stated and is not a continuing guarantee.

4. Accounts and Security

You must provide accurate, current, and complete information and keep it updated. You may maintain only accounts you are authorized to use. You may not impersonate anyone, transfer an account without permission, share authentication credentials, or circumvent an account restriction.

You are responsible for activity under your account to the extent permitted by law and for maintaining the confidentiality of your credentials and devices. Notify support@daleely.app promptly of suspected unauthorized access. Daleely may require reauthentication, telephone verification, identity verification, or other reasonable security steps.

If you sign in through Apple, Google, or another provider, your relationship with that provider is governed by its terms. Losing access to the provider may affect your Daleely account. A telephone number or email address may be associated with only the accounts or roles Daleely permits.

Organization administrators control access they grant to staff or volunteers. The organization is responsible for its administrators, users, permissions, and offboarding. Daleely may rely on instructions from a verified administrator until notified otherwise and given reasonable time to act.

5. Organization Applications, Claims, and Authority

To apply for, claim, or manage a business, mosque, event-organizer, or other organization presence, you must have actual authority and must provide information or documentation Daleely reasonably requests. You authorize Daleely to contact the organization and relevant sources to verify the application.

You must promptly update changes in ownership, authority, contact information, licenses, charitable status, tax-exempt status, event status, payment eligibility, or other material facts. Daleely may reverify at any time, decline or revoke a claim, resolve competing claims, transfer administrative control to a person Daleely reasonably determines has superior authority, or freeze changes during a dispute.

Daleely does not adjudicate ownership, governance, theological, employment, or internal organization disputes. Daleely may require the parties to resolve such a dispute independently and provide reliable documentation before restoring access.

6. Participation and Daleely's Discretion

Access to the Services is a limited privilege, not an entitlement to publication, distribution, ranking, verification, monetization, or continued participation. Daleely curates the Services and has no obligation to accept, list, publish, distribute, promote, rank, or retain any person, organization, listing, event, program, review, or other content.

Applications and unpaid participation. To the maximum extent permitted by law, Daleely may accept, reject, defer, limit, waitlist, deindex, decline to publish, or discontinue any application, listing, program, submission, feature, or unpaid participation in Daleely's sole business discretion, with or without cause, and need not provide a reason unless applicable law requires one.

Moderation and integrity. Daleely may investigate, label, edit for formatting, restrict, deindex, demonetize, remove, suspend, or decline to distribute accounts, businesses, events, mosques, listings, reviews, content, submissions, programs, or other participation when Daleely reasonably believes action is appropriate for safety, legality, accuracy, quality, relevance, community trust, alignment with Daleely's published community standards, product integrity, fraud prevention, operational capacity, enforcement of these Terms, or protection of Daleely or others. Daleely may use automated and human review but does not promise to monitor all content.

Paid services. Daleely may suspend or terminate a paid service for cause, including breach, fraud, abuse, safety risk, payment failure, legal exposure, or misuse, without refund except where law or an accepted checkout term requires otherwise. Daleely may also discontinue a paid service for Daleely's convenience; in that case, Daleely will refund the unused prorated portion of prepaid recurring fees for the discontinued period, excluding amounts attributable to services already delivered, transaction fees, tickets, donations, or third-party charges.

Legal limits. Daleely will not exercise discretion in a manner prohibited by applicable anti-discrimination, consumer-protection, contract, review-protection, or other law. Daleely will not penalize a consumer merely for an honest review protected by law. Daleely may act on review fraud, undisclosed conflicts, harassment, illegal content, irrelevant content, or other rule violations regardless of viewpoint.

Except where law requires notice, explanation, or an appeal, Daleely may act without advance notice and is not required to disclose investigative methods, confidential reports, security signals, or a reason. Daleely may preserve records and refer suspected unlawful conduct to authorities.

7. Listings, Claims, Labels, and Sponsorships

You are responsible for ensuring that information you submit is accurate, substantiated, current, and lawful. Organization representatives must maintain operating hours, addresses, prices, availability, policies, event details, qualifications, permits, and other material information.

Statements such as "halal," "zabiha," "Muslim-owned," "nonprofit," "tax-exempt," "accessible," "verified," or similar claims may have religious, legal, or commercial significance. Unless Daleely expressly identifies a Daleely-operated certification program and its published criteria, those statements are supplied by or derived from third parties and are not Daleely certifications. Users should perform their own diligence. A source label or badge describes only the stated source or completed check.

Daleely may correct formatting or obvious errors, add source labels or disclaimers, request substantiation, or remove unsupported or misleading claims. Participants may not falsely imply Daleely endorsement, religious authority, certification, affiliation, or sponsorship.

Sponsored or promoted placements will be labeled where required by law. Sponsorship may affect visibility but does not guarantee performance, sales, attendance, donations, or ranking. Daleely may apply separate advertising or sponsorship rules.

8. Subscriptions and Automatic Renewal

This Section applies to subscriptions purchased directly from Daleely. Before you pay, the checkout screen will clearly and conspicuously identify the plan, included features, billing interval, the total price you will be charged (including any mandatory fees within Daleely's control), the recurring nature of the charge, renewal terms, any minimum term, applicable taxes, material restrictions, and how to cancel. Checkout disclosures control if they expressly differ from these Terms.

Automatic renewal. If you purchase an automatically renewing subscription, you authorize Daleely and its payment provider to charge the disclosed amount, including applicable taxes, to your selected payment method at the start of each renewal term until you cancel. Daleely will obtain your express affirmative consent to the automatic-renewal terms as a separate step from your acceptance of unrelated terms, will not present the offer in a way that undermines your ability to give meaningful consent, will provide an acknowledgment of the transaction that you can retain, and will keep records of your consent for as long as applicable law requires.

Free trials and promotional periods. If a subscription begins with a free trial, discounted period, or other free-to-pay or discount-to-full-price conversion, Daleely will disclose before you consent the price that will be charged after the trial or promotional period ends, when it will be charged, and how to cancel before being charged, and will provide any reminder notice required by applicable law before the first full-price charge.

Cancellation. You may cancel at any time through your online account settings using a cancellation method that is at least as easy to use as the method you used to subscribe, without unnecessary steps designed to delay or discourage cancellation. If you subscribed online, you can cancel online. Cancellation stops future renewals and takes effect at the end of the then-current paid term unless law or a checkout term states otherwise. Deleting the app does not by itself cancel a subscription. Daleely will provide renewal reminders, annual reminders describing the plan, its price, and how to cancel, and price-change notices when and as required by applicable law, including California's Automatic Renewal Law.

Prices and plan changes. Daleely may change prices or plan features prospectively. A material price increase or material change to an existing subscription will take effect no earlier than the next renewal after clear and conspicuous, legally required advance notice that explains the change and how to cancel. If you do not agree, cancel before the renewal takes effect. Daleely may move, replace, or discontinue features, but Section 6 governs discontinuation of a paid service for Daleely's convenience.

Initial-term refund. Unless checkout offers a more favorable policy, you may request a refund within 14 calendar days after the first charge for your first paid subscription term. This courtesy is available once per customer and does not reset for a new account, plan, entity, payment method, reactivation, or renewal. Renewal charges and charges after that 14-day period are nonrefundable except where required by law. Daleely may deny refund abuse and may deduct the value of benefits consumed only if clearly disclosed and lawful. Nothing in this paragraph limits any nonwaivable refund right you have under applicable law.

Failed payment. If a charge fails, Daleely may retry the charge, ask you to update payment information, restrict paid features, or suspend the subscription. You remain responsible for valid amounts incurred before cancellation. Daleely will not knowingly charge you after an effective cancellation except to correct an error or collect a previously authorized unpaid amount.

Promotions. Trials, discounts, and promo codes may have eligibility, expiration, redemption, geographic, plan, and nontransferability limits. Unless stated otherwise, one promotion may be used per customer or transaction, has no cash value, cannot be combined with other offers, and may be revoked for error, fraud, or abuse. Daleely will disclose the post-promotion recurring price before enrollment.

9. Payments, Fees, Taxes, and Chargebacks

Daleely uses Stripe and may use other payment providers. You authorize Daleely, the relevant merchant, and payment providers to process your payment information and transactions according to their terms and privacy notices. Daleely does not store full payment-card numbers or card security codes.

For connected-account transactions, the relevant mosque, organizer, business, or beneficiary may be the merchant of record or direct recipient, and Daleely may collect a disclosed platform or service fee. Payment flows may use Stripe Connect or another legally compliant configuration. Daleely does not take custody of funds merely because its interface initiates a transaction.

Honest, all-in pricing. Wherever the Services display, advertise, or offer a price for a good or service, the displayed price will include all fees and charges that a purchaser must pay to Daleely to complete the purchase, other than government-imposed taxes or fees and any charges expressly permitted by law to be stated separately. Mandatory fees will not be revealed for the first time at the end of checkout. Before you pay, Daleely will itemize the total, including any platform fee, so you can see exactly what you are paying and to whom. Organizers, businesses, and other sellers must provide Daleely accurate price and fee information and may not impose hidden mandatory fees; doing so is a violation of these Terms.

You are responsible for taxes imposed on your own activities, receipts, sales, income, or organization, except taxes based on Daleely's net income. Daleely or a payment provider may calculate, collect, report, or remit taxes where required by law. Daleely does not provide tax advice.

Do not initiate a chargeback for a charge you authorized without first making a good-faith effort to use available cancellation, refund, or support channels. Daleely and participants may dispute improper chargebacks and provide transaction records to payment networks. Daleely may offset or recover refunds, chargebacks, penalties, taxes, and other amounts owed from future payouts to the extent allowed by law and accepted payment terms.

10. Event Tickets

When Daleely enables ticketing, the event organizer is the seller and is solely responsible for the event, venue, content, performers, capacity, permits, accessibility, safety, admission decisions, fulfillment, tax obligations, and the organizer refund policy, except for obligations Daleely expressly assumes. Daleely provides ticketing technology and payment facilitation.

Purchase disclosures and all-in ticket pricing. Wherever a ticket price is displayed or advertised on the Services, the displayed price will be the total price, including all mandatory fees and charges other than government-imposed taxes or fees permitted by law to be excluded, shown at least as prominently as any other price information. Before purchase, Daleely will also display the event, date and time, location or access method, ticket type, quantity, an itemization of the total, material restrictions, applicable refund terms, and the seller's identity. You must review them before paying.

Admission. A ticket is a revocable license for admission subject to organizer and venue rules. The organizer may deny admission or remove a person for lawful safety, capacity, conduct, age, credential, or rule-enforcement reasons. Unless the organizer permits it, tickets may not be resold, transferred, duplicated, counterfeited, used commercially, or purchased using automated means, and tickets may not be acquired in circumvention of purchase limits or access controls.

Cancellation. If an organizer cancels an event without a replacement performance, the purchaser is entitled to a refund of the ticket price and mandatory Daleely ticket fees paid for the canceled ticket, except amounts already voluntarily donated or separately purchased nonrefundable goods where law permits.

Material postponement or relocation. If an event is materially postponed or relocated, Daleely or the organizer will provide notice and a reasonable deadline to request a refund. If no request is made by the disclosed deadline, the ticket may remain valid for the changed event. A change is material when applicable law says so or when it would reasonably affect a typical purchaser's decision, considering timing, distance, format, and event nature.

Other refunds. For reasons other than cancellation or material change, the organizer's disclosed refund policy governs, subject to law. Organizers must fund refunds they owe. Daleely may issue refunds, hold payouts, establish reserves, or recover amounts from organizers to protect purchasers and platform integrity, but this does not make Daleely the guarantor of any event.

Event risk. Attendance may involve travel, crowds, food, physical activity, illness exposure, property loss, and acts of third parties. You voluntarily assume the ordinary risks inherent in attending an event that are disclosed or reasonably apparent, but nothing in these Terms releases any party from liability that cannot lawfully be waived.

11. Donations and Charitable Features

Daleely will enable donation functionality only for jurisdictions, channels, beneficiaries, and configurations Daleely determines are legally and operationally supported. Availability may be limited, conditioned, or removed at any time. A donation feature appearing on one platform does not mean it is available in every mobile app or jurisdiction.

Unless checkout expressly states otherwise, the identified mosque, charity, or beneficiary is the recipient of the donation and is responsible for its own charitable registration, solicitation compliance, restricted-fund compliance, acknowledgments, use of proceeds, and tax reporting. Daleely provides technology and may collect a disclosed platform or processing fee. Daleely does not hold itself out as a charity, fundraiser, trustee, donor-advised fund, or religious authority merely by providing the feature.

Beneficiary eligibility and compliance. Where applicable law regulates charitable fundraising platforms, Daleely will comply with those laws, which may require Daleely to verify a recipient's legal standing or tax status, obtain the recipient's consent to appear on the Services, limit solicitations to organizations in good standing with tax and charity regulators, suspend or remove a recipient that loses good standing or eligibility within legally required timeframes, promptly send donations to recipients, and provide donors with receipts and legally required disclosures. Recipients must cooperate with these requirements and must promptly notify Daleely of any change in their legal, tax-exempt, or registration status. Daleely may decline, suspend, or remove any beneficiary or campaign that Daleely reasonably believes does not meet legal, regulatory, or platform requirements, and need not provide a reason except where law requires one.

Fee and deductibility disclosures. Before a donation is completed, Daleely will disclose the recipient, the donation amount, any fees deducted from or added to the donation that are charged or retained by Daleely or a partnering vendor (other than fees excluded by law from this disclosure), whether and when your information will be shared with the recipient, and a statement regarding the tax deductibility of the donation as required by applicable law.

Daleely does not guarantee that a recipient is tax-exempt, that a contribution is deductible, or that a payment qualifies as zakat, sadaqah, waqf, or another religious category. Any verification label means only that the stated check was completed. Consult qualified religious and tax advisers.

A donor may not impose a restriction on a donation unless the checkout expressly accepts it. Recipients must use restricted funds consistently with accepted restrictions and applicable law.

Completed donations are generally final and nonrefundable because funds may be transferred promptly to the recipient. Daleely or the recipient may correct duplicate or erroneous transactions, address unauthorized payments, comply with law, or approve another refund. Daleely may block, hold, return, or report funds to comply with sanctions, anti-fraud, payment, charitable-solicitation, or other legal requirements.

Receipts supplied by Daleely are transaction confirmations unless expressly identified as a tax acknowledgment issued for the recipient. The recipient is responsible for any legally required charitable acknowledgment.

12. User Content and License

"User Content" means content you submit, upload, publish, transmit, or otherwise make available through the Services, including listings, reviews, photographs, videos, logos, event information, replies, and feedback, but excluding payment credentials.

You retain ownership of your User Content. You grant Daleely a nonexclusive, worldwide, royalty-free, transferable, and sublicensable license to host, store, reproduce, format, adapt for technical compatibility, translate, distribute, display, perform, and otherwise use your User Content to operate, secure, improve, and promote the Services and the relevant listing or event. This license lasts while the content is available through the Services and for a reasonable period afterward for backups, legal compliance, and materials already created, unless law requires earlier deletion. Daleely will not use the text of an individual consumer review in advertising in a manner that falsely implies endorsement.

You represent and warrant that you own or have all rights, permissions, and consents needed for the User Content and this license; that the content is accurate where presented as fact; and that its submission and use do not violate law, these Terms, or any privacy, publicity, intellectual-property, confidentiality, or other rights of any person.

You understand that public content can be copied or redistributed by others. Do not post confidential information, payment credentials, government identifiers, private contact information, or images of people without appropriate permission.

13. Reviews and Content Integrity

Reviews must reflect a genuine experience and honest opinion. You may not submit or procure fake reviews; review your own organization without clear disclosure; condition compensation on a particular sentiment; suppress negative reviews through threats or deceptive practices; submit reviews of competitors to manipulate ratings; or use undisclosed employees, family members, agencies, bots, or incentives.

Businesses may invite genuine reviews using neutral requests but may not selectively solicit only favorable reviewers or require users to waive a right to review honest experiences. Nothing in these Terms prohibits or restricts your ability to post a lawful, honest review, and Daleely will not enforce any provision in a manner prohibited by the federal Consumer Review Fairness Act or similar state laws. Organizations may respond professionally and report suspected violations. Daleely may label incentivized content, detect patterns, request evidence, delay publication, remove manipulation, or adjust ratings.

Daleely may moderate content under Section 6 but does not promise to investigate or remove every disputed statement. Daleely generally will not resolve factual disagreements between reviewers and organizations. A disagreement alone does not establish defamation or a rule violation.

14. Prohibited Conduct

You may not use the Services to:

Daleely may impose technical limits and investigate suspected violations. You agree not to interfere with an investigation or evade enforcement by creating or using another account.

15. Daleely Intellectual Property

The Services, including software, design, interfaces, compilations, graphics, Daleely-created content, databases, trademarks, and logos, are owned by Daleely or its licensors and protected by law. Subject to these Terms, Daleely grants you a limited, personal, nonexclusive, nontransferable, nonsublicensable, revocable license to access and use the Services for their intended purpose.

No rights are granted by implication. You may not use Daleely names, logos, trade dress, domains, or confusingly similar marks without written permission. All goodwill arising from permitted use benefits Daleely.

If you provide ideas, suggestions, or feedback, you grant Daleely a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable right to use them without restriction or compensation, provided Daleely does not publicly identify you as the source without permission.

16. Copyright Complaints (DMCA)

Daleely respects intellectual-property rights. A copyright owner or authorized agent may send a notice under the Digital Millennium Copyright Act ("DMCA") containing:

Send notices to Daleely's designated copyright agent at copyright@daleely.app or by mail to Daleely, Inc., Attn: Copyright Agent, 131 Continental Dr., Ste. 305, Newark, DE 19713-4324, United States. Daleely's complete designated-agent contact details are also maintained in the U.S. Copyright Office's designated-agent directory and at https://daleely.app/legal/dmca. A knowingly false notice may create liability under 17 U.S.C. § 512(f).

If content is removed due to a DMCA notice, the submitting user may send a legally compliant counter-notice identifying the removed material, consenting to the jurisdiction of the appropriate federal district court, accepting service of process from the complainant, and stating under penalty of perjury a good-faith belief that removal resulted from mistake or misidentification. Daleely may restore content as the DMCA permits. Daleely will terminate the accounts of repeat infringers in appropriate circumstances.

Trademark, impersonation, or other intellectual-property complaints may be sent to legal@daleely.app.

17. Third-Party Services, Links, and Maps

The Services may contain links to, content from, or integrations with third parties. Daleely does not control and is not responsible for their availability, terms, privacy practices, content, products, or conduct. Your use of them is at your own risk and may require accepting separate terms.

Maps, directions, distances, geocoding, travel times, prayer times, and accessibility information may be inaccurate or incomplete. Do not rely on the Services for emergency navigation, safety-critical directions, or legal property boundaries. Confirm important information directly with the relevant organization or venue.

18. Electronic Communications, SMS, OTP, and Notifications

You consent to receive records and communications electronically, including through the Services, email, or other contact information you provide, to the extent permitted by law. You may withdraw consent to electronic records where law permits, but doing so may require closing the account if electronic delivery is essential to the Services. Keep your contact information current.

OTP and security messages. When you enter a telephone number and affirmatively request a verification code, you authorize Daleely and its communications providers (currently expected to include Twilio) to send an automated one-time passcode or security message to that number. Message and data rates may apply. Message frequency varies based on your requests and security events. Consent to receive verification messages is not a condition of purchasing anything and is not consent to receive marketing messages. Carriers are not liable for delayed or undelivered messages. Blocking or stopping these messages may prevent telephone verification and limit account access.

Stopping messages. You may opt out of a Daleely SMS program by replying STOP (or a similar word such as QUIT, END, CANCEL, UNSUBSCRIBE, or OPT OUT), and you may get help by replying HELP or contacting support@daleely.app. You may also revoke consent through any other reasonable method that clearly expresses your request, and Daleely will honor a revocation within the time required by law, currently no more than ten business days. After you opt out, Daleely may send one final message confirming your opt-out or clarifying its scope, as permitted by law.

You represent that you are the subscriber or customary user of the telephone number you provide and will promptly update Daleely if the number changes or is reassigned. Daleely may retain records of consent, disclosures, opt-outs, delivery events, and verification to document compliance and prevent abuse.

Future recurring programs. Daleely will not treat an OTP request as consent to recurring promotional or informational texts or WhatsApp messages. If Daleely launches such a program, it will use a separate, program-specific opt-in that discloses the sender, purpose, expected message frequency, that messages may be automated, that message and data rates may apply, opt-out and help instructions, and links to the applicable terms and privacy policy. Consent to a recurring program will not be a condition of purchase unless clearly and lawfully stated. Program-specific instructions govern that program.

Email and push. Daleely may send transactional, security, account, legal, and service communications. Marketing email, if you opt in, will include an unsubscribe mechanism. Push notifications can be controlled in app or device settings.

19. Privacy

The Daleely Privacy Policy at https://daleely.app/privacy explains Daleely's personal-information practices and is incorporated by reference for notice purposes. These Terms govern the contractual relationship; the Privacy Policy describes Daleely's processing of personal information. If the documents conflict about personal-information practices, the Privacy Policy controls.

20. Mobile Applications and App Stores

If you download a Daleely app from Apple's App Store or Google Play, these Terms are between you and Daleely, not the app-store provider. The provider has no responsibility for the app or its support, maintenance, warranties, claims, or intellectual-property disputes, except as its own terms require. Your use must comply with the applicable app-store terms.

For an app obtained from Apple's App Store, Apple and its subsidiaries are third-party beneficiaries of this Section and may enforce it upon your acceptance of these Terms. If the app fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the app purchase price, if any; to the maximum extent permitted by law, Apple has no other warranty obligation for the app.

Certain purchases may be offered only on the web or through an authorized external flow. Physical event tickets may be offered in mobile applications where permitted by app-store rules. Organization subscriptions and donations will be offered through channels Daleely determines comply with app-store rules and applicable law. Daleely will not direct users to an external purchase in a manner prohibited by the applicable platform rules.

21. Accessibility, Changes, Availability, and Beta Features

Daleely aims to make the Services usable by people with disabilities and to follow applicable accessibility requirements. If you have difficulty accessing a feature or document, contact support@daleely.app and describe the issue, the assistive technology or device used if relevant, and the format or accommodation requested. Daleely will make reasonable efforts to provide an accessible alternative. Accessibility information supplied by a third-party venue or organization remains that party's responsibility.

Daleely may add, change, suspend, or discontinue features, content, eligibility, limits, integrations, or availability. Daleely does not promise that the Services will always be available, uninterrupted, secure, or error-free. Maintenance, outages, legal restrictions, provider failures, and emergencies may affect availability.

Beta, preview, experimental, or free features may be changed or withdrawn at any time and may contain errors. Use them at your own risk and do not rely on them for critical operations.

Daleely may update these Terms prospectively. Daleely will post the updated Terms and change the Effective Date, and for material changes will provide reasonable advance notice and seek renewed acceptance where required by law. Changes do not retroactively alter rights or obligations for a dispute that arose before the update where doing so would be unlawful. If you do not agree to updated Terms, stop using the Services and cancel applicable subscriptions before the update takes effect.

22. Suspension, Termination, and Account Deletion

You may stop using the Services at any time. You may request account deletion through the app, the website account controls, or privacy@daleely.app. Deletion does not automatically cancel a subscription unless the deletion flow expressly confirms cancellation; Daleely will provide a practical way to address both in the same flow.

Daleely may restrict, suspend, or terminate access under Section 6. Daleely may act immediately when reasonably necessary for safety, security, fraud prevention, legal compliance, payment risk, or platform integrity. Where appropriate or legally required, Daleely will provide notice or an opportunity to cure.

Upon termination, your license to use the Services ends and you must stop using the affected Services. Daleely may delete or retain information consistent with the Privacy Policy and applicable law. Sections that by their nature should survive termination—including payment obligations, licenses needed for retained content, disclaimers, liability limitations, indemnity, dispute-resolution terms, and general terms—survive.

23. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." DALEELY DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Daleely does not warrant that listings, reviews, rankings, claims, event details, prayer times, donation information, directions, notifications, or third-party services are accurate, complete, current, safe, lawful, or suitable; that any participant will perform; that a result will meet expectations; or that defects will be corrected.

Some jurisdictions do not allow certain disclaimers. In those jurisdictions, the disclaimers above apply only to the extent permitted, and you may have rights that cannot be waived.

24. Assumption of Risk; Disputes with Other Participants

You are responsible for evaluating participants, listings, events, products, food, religious or charitable claims, and transactions. Use appropriate caution, confirm time-sensitive information, review organizer and venue rules, and seek professional advice where appropriate.

To the extent permitted by law, you assume the risks arising from voluntary interactions with businesses, mosques, organizers, beneficiaries, attendees, reviewers, and other third parties. You are responsible for resolving disputes with them. Daleely may assist but is not obligated to mediate.

To the maximum extent permitted by law, you release Daleely and its affiliates, officers, directors, employees, and agents from claims arising solely from the acts, omissions, content, products, events, or disputes of third-party participants. This release does not cover Daleely's own breach, negligence, willful misconduct, or fraud, or any liability that law does not permit Daleely to exclude. If California Civil Code section 1542 applies, you waive it only to the extent legally permitted and only for claims within this limited third-party release.

25. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DALEELY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITIES; OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNTS YOU PAID DIRECTLY TO DALEELY FOR DALEELY'S OWN SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. TICKET PROCEEDS, DONATIONS, TAXES, AND AMOUNTS PAID TO THIRD-PARTY SELLERS OR BENEFICIARIES ARE NOT AMOUNTS PAID TO DALEELY FOR PURPOSES OF THIS CAP.

These limitations allocate risk between the parties and are a fundamental basis of the bargain. They apply regardless of legal theory and even if a remedy fails of its essential purpose. They do not limit liability for Daleely's fraud, willful misconduct, gross negligence where it cannot lawfully be limited, personal injury caused by Daleely where limitation is prohibited, or any other liability that applicable law does not allow Daleely to limit.

26. Indemnification

If you use the Services on behalf of a business, mosque, organizer, beneficiary, or other organization, you and the organization will defend, indemnify, and hold harmless Daleely and its affiliates, officers, directors, employees, and agents from third-party claims, damages, judgments, settlements, penalties, losses, and reasonable attorneys' fees arising from or relating to: your or the organization's User Content, listings, events, products, services, food, halal or certification claims, fundraising, tickets, taxes, acts, or omissions; breach of these Terms; violation of law or another person's rights; or disputes with staff, attendees, donors, purchasers, beneficiaries, or other participants.

Individual consumers will indemnify Daleely only to the extent permitted by law and only for third-party claims caused by their unlawful conduct, willful misconduct, material breach of these Terms, or infringement or misappropriation through their User Content.

Daleely will provide reasonable notice of an indemnified claim and may control the defense with counsel of its choice. You may participate with your own counsel at your expense. You may not settle a claim in a way that admits fault by Daleely, imposes obligations on Daleely, or fails to fully release Daleely, without Daleely's written consent. Failure to give prompt notice reduces your obligations only to the extent you are materially prejudiced.

27. Dispute Resolution; Arbitration; Class and Jury Waivers

Please read this Section carefully. It requires most disputes between you and Daleely to be resolved by binding individual arbitration and limits the manner in which you may seek relief.

27.1 Informal Resolution First

Before filing an arbitration or a lawsuit, the party asserting the claim must send an individualized written notice to legal@daleely.app (or, for notices from Daleely, to the email or mailing address associated with your account) describing the claimant's name and account information, the facts, the legal basis of the claim, the requested relief, and a good-faith calculation of any monetary demand. The parties will attempt in good faith to resolve the dispute for 30 days after receipt of the notice. Any applicable limitations period is tolled during that period. Either party may seek temporary relief needed to prevent imminent irreparable harm.

27.2 Agreement to Individual Arbitration

Except for the exclusions below, you and Daleely agree that any dispute, claim, or controversy arising out of or relating to the Services, communications, transactions, these Terms, or the relationship between you and Daleely will be resolved by final and binding individual arbitration, not in court. This agreement involves interstate commerce and is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1–16.

Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by these Terms. The rules are available at adr.org. The arbitrator may award the same individual remedies a court could award and must apply applicable law and enforce valid limitations periods. The arbitrator will issue a reasoned written decision upon request. Issues of arbitrability are for the arbitrator to decide except as these Terms or nonwaivable law provide otherwise.

For a consumer claim, Daleely will pay arbitration filing, administration, and arbitrator fees to the extent required by the AAA rules or applicable law. Each party pays its own attorneys' fees unless a law or valid claim permits fee shifting. Arbitration may occur by documents, telephone, video, or in person as the rules permit. Any in-person consumer hearing will occur in the county where you live or another mutually agreed location.

27.3 Exclusions

Either party may bring an individual action in small-claims court if the claim remains within that court's jurisdiction. Either party may seek relief in court for infringement or misuse of intellectual-property rights, unauthorized access, data theft, or circumvention of technical controls. A party may seek public injunctive relief in court to the extent applicable law prohibits requiring arbitration of that relief. Government agencies may investigate or seek relief notwithstanding this Section.

27.4 Class-Action and Jury-Trial Waivers

YOU AND DALEELY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF, CLASS MEMBER, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE DIFFERENT PEOPLE'S CLAIMS OR PRESIDE OVER A REPRESENTATIVE PROCEEDING, EXCEPT BY WRITTEN AGREEMENT OF ALL PARTIES OR AS REQUIRED BY NONWAIVABLE LAW.

TO THE EXTENT A DISPUTE PROCEEDS IN COURT, YOU AND DALEELY EACH KNOWINGLY AND VOLUNTARILY WAIVE THE RIGHT TO A JURY TRIAL TO THE MAXIMUM EXTENT PERMITTED BY LAW.

If a final decision holds that the waiver of a particular claim or remedy is unenforceable, that claim or remedy (and only that claim or remedy) will be severed and may proceed in court, after all arbitrable claims are completed, unless applicable law requires otherwise.

27.5 Coordinated or Mass Filings

If 25 or more substantially similar arbitration demands are submitted against a party by or with the assistance of coordinated counsel or organizations, the parties will meet and confer in good faith regarding efficient administration, and the AAA's supplementary rules for multiple case filings will apply if the AAA determines they apply. Each claimant must complete the informal resolution process and provide individualized facts and a signed authorization. This subsection does not prevent any claimant from pursuing an individual claim and does not authorize class arbitration.

27.6 Thirty-Day Right to Opt Out

You may opt out of this arbitration agreement by emailing legal@daleely.app within 30 days after you first accept these Terms. The email must state "Arbitration Opt-Out," your full name, the email address or telephone number associated with your account, and an unequivocal statement that you opt out. Opting out will not affect your access to the Services or any other provision of these Terms. An opt-out applies only to the person who timely submits it and does not opt out an organization unless an authorized representative identifies the organization.

27.7 Changes to Arbitration Terms

If Daleely materially changes this Section 27 after your most recent acceptance of these Terms, you may reject that change by emailing legal@daleely.app within 30 days after notice of the change. If you do so, the prior version of this Section will govern disputes between you and Daleely, subject to applicable law. Daleely may update an arbitration administrator's contact information or rules references without creating a new opt-out right.

28. Governing Law and Court Venue

The Federal Arbitration Act governs Section 27. Otherwise, California law governs these Terms and any disputes, without regard to conflict-of-law principles, except that the mandatory consumer-protection laws of your state of residence remain applicable where they cannot lawfully be waived.

For any dispute permitted to proceed in court and not brought in small-claims court, the parties consent to the exclusive jurisdiction of the state and federal courts located in Orange County, California, except that a consumer may bring a claim in another location where nonwaivable law so permits. Each party waives objections to personal jurisdiction and venue in those courts to the extent permitted by law.

29. California Consumer Notice

Under California Civil Code section 1789.3, California users are entitled to the following notice: the Services are provided by Daleely, Inc., 131 Continental Dr., Ste. 305, Newark, DE 19713-4324, United States, support@daleely.app. Complaints regarding the Services or requests for further information may be sent to that address or email. The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

30. General Terms

Notices. Daleely may provide notices through the Services, by email, or by another reasonable electronic method. Legal notices to Daleely must be sent to legal@daleely.app, except where these Terms specify another address. Notice is effective when sent or posted, subject to applicable law.

Assignment. You may not assign these Terms or an account without Daleely's written consent. Daleely may assign these Terms in connection with a merger, reorganization, sale of assets, financing, affiliate transfer, or by operation of law, and otherwise with any legally required notice.

Severability. Except as specifically provided in Section 27, if any provision of these Terms is held unenforceable, it will be enforced to the maximum lawful extent, and the remainder of these Terms remains in full force.

No waiver. Failure to enforce a provision is not a waiver of it. A waiver must be in writing and applies only to the stated instance.

Force majeure. Daleely is not liable for delay or failure caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, epidemics, internet or utility failures, cyberattacks, provider outages, government action, or changes in law, except for obligations that cannot lawfully be excused.

No third-party beneficiaries. Except for Apple as stated in Section 20 and the Daleely parties entitled to indemnification, these Terms create no third-party beneficiary rights.

Entire agreement. These Terms, accepted supplemental terms, and policies expressly incorporated into a transaction are the entire agreement between you and Daleely about the Services and replace prior agreements on the same subject. Purchase orders or organization terms do not modify these Terms unless Daleely signs a written agreement expressly doing so.

Interpretation. "Including" means "including without limitation." Headings are for convenience only. An electronic copy of these Terms is admissible to the same extent as an original. These Terms are drafted in English; any translation is provided for convenience, and the English version controls to the extent permitted by law.
